implementation is to to do work in the same form without
making any changes(to adapt the same method of work),whereas
upgradation is to accept new concept of work(work with new
ideas, to accept new technology, innovate new ideas in the
same work)to increase production by decreasing the unit cost
of production.

Implementation means client going to implement the SAP(Green Field), where as up gradation means upgrading from older version to new version like 5.0 to 6.0.
