long term loans are taken for the purpose of long term
investments or capital investments but debt are taken for
the purpose of maintain the shot term financial needs of
the company.

Loan are secured by some collateral security or mortgagte.
Many times there are no collateral securities for debts.
At the time of liquidation debentureholders are paid in the
last after settelment of all the creditors.
