Hi Ravi,
As much as I know your 2nd point is valid and related to
Regression Testing. But 1st point defines the process of
Retesting.
Hence in my point of view- Regression Testing is done to
ensure that any Bug Fixation, any change or any
modification made to the software application has not
brocken any existing functionality.

If you are handling a product testing and if there are around 100 test cases and in them few test cases are failed then at the end of the day how will you treat whether the product is pass/fail.? consider the failed test cases are in functional requirements.
